Terms of Service

AI Front Desk provides an AI-powered platform that automates customer communications, lead management, booking coordination, and member retention for service businesses ("Services"). The Services are provided on a subscription basis pursuant to a separate order form or agreement between AI Front Desk and your organization.

We reserve the right to modify, suspend, or discontinue any portion of the Services at any time with reasonable notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Services.

To use our Services, you must create an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You must notify us immediately of any unauthorized use of your account or any other breach of security at security@aifrontdesk.com. We will not be liable for any loss or damage arising from your failure to maintain account security.

You agree to use our Services only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Services to send unsolicited communications or spam
• Violate any applicable law or regulation, including consumer protection laws and telemarketing regulations (TCPA, CAN-SPAM)
• Infringe or misappropriate any intellectual property rights
• Attempt to gain unauthorized access to our systems or other users' accounts
• Use the Services to harass, abuse, or harm any individual
• Interfere with or disrupt the integrity or performance of the Services
• Reverse engineer, decompile, or disassemble any portion of the Services
• Resell or sublicense the Services without our written permission

Your use of our Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our Services, you consent to our collection, use, and sharing of information as described in the Privacy Policy.

Your data: You retain ownership of all data you submit to our Services ("Customer Data"). You grant AI Front Desk a limited license to use Customer Data solely to provide and improve the Services.

Data processing: Where applicable, we will enter into a Data Processing Agreement (DPA) with you to comply with GDPR, CCPA, and other applicable data protection laws. Contact us at privacy@aifrontdesk.com to request a DPA.

The Services, including all software, algorithms, AI models, designs, text, graphics, and other content, are owned by AI Front Desk and protected by intellectual property laws. These Terms do not grant you any rights in the Services except for the limited right to use them as set forth herein.

You may provide feedback, suggestions, or ideas about our Services ("Feedback"). You grant AI Front Desk a perpetual, irrevocable, worldwide, royalty-free license to use, reproduce, modify, and incorporate such Feedback into our Services without restriction.

Subscription fees are billed according to the pricing agreed upon in your order form or agreement. All fees are non-refundable except as required by law or as expressly stated in your agreement.

We reserve the right to change pricing with 30 days' written notice. Your continued use of the Services after the price change takes effect constitutes your agreement to the new pricing.

If payment is not received by the due date, we may suspend your access to the Services until payment is received. Accounts overdue by more than 60 days may be terminated.

We commit to 99.9% monthly uptime for our platform infrastructure, measured as the percentage of time the Services are available and operational. Planned maintenance windows, force majeure events, and issues caused by your systems or third-party integrations are excluded from uptime calculations.

If we fail to meet the uptime commitment in any given month, you may be eligible for service credits as specified in your agreement. Service credits are your sole and exclusive remedy for uptime failures.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, AI FRONT DESK DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, error-free, or free of harmful components. AI agents may occasionally produce inaccurate or inappropriate responses; you are responsible for implementing appropriate human oversight protocols.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AI FRONT DESK SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING UNDER OR RELATED TO THESE TERMS SHALL NOT EXCEED THE FEES PAID BY YOU TO AI FRONT DESK IN THE THREE MONTHS PRECEDING THE CLAIM.

You agree to indemnify, defend, and hold harmless AI Front Desk and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or in connection with your use of the Services, your violation of these Terms, or your violation of any rights of a third party.

Either party may terminate these Terms upon written notice if the other party materially breaches these Terms and fails to cure such breach within 30 days of written notice. We may also terminate or suspend your access immediately for violations of the Acceptable Use provisions.

Upon termination, your right to use the Services will immediately cease. Provisions that by their nature should survive termination (including intellectual property, disclaimer of warranties, limitation of liability, and indemnification) will continue to apply.

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Travis County, Texas.

We reserve the right to modify these Terms at any time. We will notify you of material changes by email or by posting a notice on our website. Your continued use of the Services after the effective date of the modified Terms constitutes your acceptance of the changes.
